We are 100% privately owned by the management of Thames Capital and hold our own Australian Financial Services License (AFSL) which allows us to undertake our activity and fulfill our mandates autonomously.
We provide wholly independent corporate advisory services to our clients in the form of capital structuring, arranging and sourcing of debt and equity funding. The uses of capital varies but is typically for growth or expansion of private businesses, including M&A activity, or capital to undertake a given project. Our mandates with clients fulfill end-to-end from deal origination right through to full execution.
We engage a global network of investors known to us from past deals to source capital and work with our clients to fully execute the raise or M&A mandates. To this end, we have a heavy emphasis on cross geographic and international investment opportunities taking advantage of global trends between countries.
Across all business offerings, we have a keen interest to develop long term relationships as evidenced by our approach to evaluation, discretion, client/investor confidentiality, subsequent engagement on transactions, reputation and repeat business.
Our focus by sector:
We provide SME and corporate mid-market clients solutions to their debt funding requirements ($10-150 mill). We aid the structuring of transactions into a bankable offering and engage with our global investor network of family offices, alternative private debt credit funds and institutions to execute the transaction.
From our experience, companies are typically seeking debt financing for growth capital, corporate finance transactions (M&A), bridge finance or asset backed finance.
Our team of ex-investment banking professionals provides expert structuring and execution skills to make the transaction as seamless as possible. Our past experience of working within financial institutions globally provides us with the insight as to what exactly is required from each prospective lender and a depth of quality in relationships to ensure speed of execution.
We focus on 2 areas of real estate:
- structuring and securing construction development finance
- facilitating off market private Real Estate purchases/sales
Construction Development Finance:
We support real estate developers who are seeking construction finance to secure their funding. We structure deals across the full credit curve to find a workable financing solution.
We are unrestricted in size, but don’t typically look at deals lower than A$5-10mill and we have capacity with our investor networks to structure up to A$1bn+.
Type: residential and commercial blocks, sub-divisions, large format retail, medical facilities, land, aged care facilities, golf courses etc
Off Market private sales:
Through our own and joint venture network we have access to off market private real estate deal flow. This typically includes, but is not limited to commercial office blocks, hotels, golf courses, shopping centres, development sites and land.
Our investor base is global in nature from private wholesales investors up to institutional investors and can therefore facilitate smaller tickets (A$15-20mill) up to an uncapped amount.
We engage with early stage companies who are at the scale-up stage of growth where we feel we can add significant value to their growth journey. We classify the scale up stage as revenue generating with a product in market and proven management team, typically late seed, Series A rounds.
We provide hands on advisory services to help prepare a company prepare for their capital raise and work with the founders to execute the raise. We utilize our global network of investors to raise funds for ventures and have great relationships with a variety of overseas venture networks.
Our engagements to date have led to long term ongoing involvement with the companies and founders we have worked with and we therefore like to partner with founders and businesses where we can add significant value to their journey. We often take on part time positions to help the company continue to grow and on occasion, board advisory positions where requested.
We are generally sector agnostic with our key skill sets being the ability to implement solid foundations in order to grow robust businesses, strategic partnerships and business execution, but we are particularly attracted to fintech, regtec, ESG/impact focused businesses with a global outlook.
ESG & Impact
We are very focused on this this segment of the market as it crosses over many of the alternative asset classes we work with. We are particularly interested in working on energy focused projects and the financing of larger projects e.g. wind, solar etc. We prioritise working on bankable projects across the asset classes we are involved with where there is a clear ESG or impact investment benefit.
The resource deals we work on are typically precious metals, minerals and salts, both pre- and post- mine production. The opportunities tend to be in unrestricted geographically but are usually in established countries known for a given resource.
Deals tend to be initially equity capital focused, with project finance and further capex opportunities typically available as the project progresses. We typically work with the senior management of the company to position the company and capital proposition to help them achieve a funding plan and then execute their raise.
We typically work on PE deal mandates with private companies who are just at the start of their PE journey, a level up from the venture capital cycle. EV is typically between A$2-50mill.
Our mandates vary across the Infrastructure space and are typically institutional in nature.
